The seopapers.com website (collectively, "Web Site") is owned and operated by Stoddard Hill Media Holdings, LLC d/b/a iNET Interactive, a Delaware limited liability company ("iNET"). INET has adopted these Terms and Conditions ("Terms and Conditions") to make you aware of the terms and
conditions governing the submission by you ("Author") of articles, reviews and tutorials (collectively, "Contribution") to the
Web Site. BY CREATING AN AUTHOR ACCOUNT AND/OR SUBMITTING A CONTRIBUTION FOR PUBLICATION ON THE WEB SITE, YOU ACKNOWLEDGE THAT YOU
HAVE READ THESE TERMS AND CONDITIONS, THAT YOU UNDERSTAND THEM, AND THAT YOU AGREE TO BE BOUND BY THEM. We reserve the right, at
our discretion, to change, modify, add, or remove portions of these Terms and Conditions at any time. Please check here
periodically for changes. Your continued use of the Web Site and/or the posting of additional Contributions following the posting
of changes to these Terms and Conditions will mean you accept those changes.
IMPORTANT!! - AUTHORS ARE FREE TO DETERMINE WHETHER THEY ARE LICENSING TO INET A NON-EXCLUSIVE RIGHT TO USE THE CONTRIBUTION OR
ASSIGNING TO INET THE AUTHOR"S RIGHTS IN THE CONTRIBUTION AT THE TIME OF EACH SUBMISSION. PLEASE NOTE THAT BY ASSIGNING THE
CONTRIBUTION TO INET, THE AUTHOR MAY NOT SUBMIT THE CONTRIBUTION FOR PUBLICATION (EVEN IN ABSTRACT FORM) TO ANOTHER PUBLICATION,
JOURNAL, MAGAZINE OR WEBSITE WITHOUT INET"S PERMISSION.
- Non-Exclusive Contributions. By submitting a Contribution for non-exclusive inclusion on the Web Site and upon receipt
of monetary consideration, if any, for such non-exclusive Contribution (the sufficiency of which is hereby acknowledged), you
agree to grant iNET a perpetual and non-exclusive license to use and publish the Contribution on the Website and any other
websites owned or operated by iNET or via email, to translate the Contribution into other languages, create adaptations,
summaries, extracts or other derivative works based on the Contributions and to license others to do any or all of the above.
You grant us the right to use your name and biography in advertising and promotion related to the Web Site, and in any and all
ancillary products related to the Web Site regardless of the formats in which such use occurs. You agree to indemnify iNET for
any claims arising out of your submission. You represent and warrant that the Contribution will be your original work product
(except for material in the public domain or used with the permission of the owner), will not infringe any copyright, and will not
constitute a defamation, or invasion of the right of privacy or publicity, or infringement of any other kind, of any third party.
You warrant that you have the authority to grant this license. You understand that iNET reserves the right to reject any
submission for any and no reason, and that submitting a Contribution does not guarantee that it will be published on the Web Site
or that you will be paid anything for such submission. You understand that providing an invalid email address will result in your
submission being rejected. You understand that using inappropriate language as determined by iNET (including but not limited to
profanity and hate speech) in your Contribution will cause it to be rejected. You understand that images and links included with
a Contribution may be removed from your submission.
- Exclusive Contributions. By submitting a Contribution for exclusive inclusion on the Web Site and upon receipt of
monetary consideration, if any, for such assignment of the Contribution (the sufficiency of which is hereby acknowledged), you
hereby assign to iNET all rights, title and interest in the Contribution. Accordingly, iNET may use the Contribution for any and
all uses, in any and all formats now known or hereafter to become known, including but not limited to books, CD ROMs, other web
sites and online services. You grant us the right to use your name and biography in advertising and promotion related to the Web
Site, and in any and all ancillary products related to the Web Site regardless of the formats in which such use occurs. You agree
to indemnify iNET for any claims arising out of your submission. You represent and warrant that the Contribution will be wholly
original material not published elsewhere (except for material in the public domain or used with the permission of the owner),
will not infringe any copyright, and will not constitute a defamation, or invasion of the right of privacy or publicity, or
infringement of any other kind, of any third party. You warrant that you have the authority to assign the Contribution to iNET.
You understand that iNET"s editors reserve the right to reject any submission for any and no reason, and that submitting a
Contribution does not guarantee that it will be published on the Web Site. You understand that providing an invalid email address
will result in your submission being rejected. You understand that using inappropriate language as determined by iNET (including but not limited to profanity and hate speech) in your Contribution will cause it to be rejected. You understand that images and
links included with a Contribution may be removed from your submission.
- Payment for Contributions. From time to time, iNET may compensate Authors for Contributions actually published on the
Web Site. Any such fee is a one-time fee only and shall be set forth at the time the Author submits the Contribution to iNET.
iNET will paypal payments or send a check via postal mail by the 15th of the month following the article"s approval.
- Author Representation and Warranties. You represent and warrant to iNET that: (a) you are over the age of eighteen
(18) and has the power and authority to enter into and perform your obligations under these Terms and Conditions; (b) all
information provided by you to iNET is truthful, accurate and complete; (c) you shall comply with these Terms and Conditions,
(d) you have provided and will maintain accurate and complete registration information with iNET, including, without limitation,
your legal name, address, telephone number and email address; and (e) your submission does not and will not constitute a breach
or violation of any other agreement, contract, terms of use, or similar policy or understanding to which you are or may be
subject.
- Disclaimer. INET MAKES NO REPRESENTATIONS OR WARRANTIES OF ANY KIND, NATURE OR DESCRIPTION EXPRESS, IMPLIED OR
STATUTORY WITH RESPECT TO ITS WEB SITE OR THE CONTENT CONTAINED THEREIN, INCLUDING, WITHOUT LIMITATION, ANY IMPLIED WARRANTY OF
MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT, OR ARISING THROUGH COURSE OF DEALING, USAGE OR TRADE
PRACTICES, AND INET HEREBY DISCLAIMS THE SAME.
- Limitation on Liability. INET, ITS LICENSORS, SERVICE PROVIDERS, CONTENT PROVIDERS, EMPLOYEES, AGENTS, OFFICERS AND
DIRECTORS, WILL NOT BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, CONSEQUENTIAL, OR SPECIAL DAMAGES OF ANY KIND, INCLUDING,
WITHOUT LIMITATION, LOSS OF REVENUE OR INCOME, PAIN AND SUFFERING, EMOTIONAL DISTRESS OR SIMILAR DAMAGES, EVEN IF SUCH PARTIES
HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. IN NO EVENT WILL THE COLLECTIVE LIABILITY OF INET AND ITS LICENSORS,
SERVICE PROVIDERS, CONTENT PROVIDERS, EMPLOYEES, AGENTS, OFFICERS AND DIRECTORS TO YOU OR ANY OTHER PERSON (REGARDLESS OF THE FORM
OF ACTION, WHETHER IN CONTRACT, TORT OR UNDER ANY OTHER LEGAL THEORY, INCLUDING, WITHOUT LIMITATION, NEGLIGENCE OR STRICT
LIABILITY) EXCEED THE AMOUNT, IF ANY, YOU HAVE BEEN PAID BY INET FOR THE CONTRIBUTION WHICH BOTH PARTIES AGREE IS A REASONABLE
LIMTIATON AND A BASIS OF THE BARGAIN.
- Miscellaneous.
- Independent Contractor. It is specifically understood and intended that you are an independent contractor, and
nothing herein is intended or shall be deemed to constitute you an employee of iNET.
- Headings. The headings of sections of these Terms and Conditions are for ease of reference only and shall not be
admissible in any action to alter, modify or interpret the contents of any section hereof.
- Governing Law and Jurisdiction. The validity and effect of these Terms and Conditions shall be governed by and
construed and enforced in accordance with the laws of the State of Ohio, USA without regard to its conflicts of laws principles.
ANY SUIT, ACTION OR PROCEEDING CONCERNING YOUR CONTRIBUTION TO THE WEB SITE, ITS USE, THESE TERMS AND CONDITIONS, OR CONCERNING
ANY OTHER POLICY OR PROCEDURE OF INET REGARDING USE OF THE WEBSITE, MUST BE BROUGHT IN MONGOMERY COUNTY, OHIO DISTRICT COURT, AND
YOU HEREBY IRREVOCABLY CONSENT TO THE JURISDICTION OF SUCH COURT (AND OF THE APPROPRIATE APPELLATE COURTS THEREFROM) IN ANY SUCH
SUIT, ACTION OR PROCEEDING; AND YOU IRREVOCABLY WAIVE, TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, ANY OBJECTION WHICH YOU
MAY NOW OR HEREAFTER HAVE TO THE LAYING OF THE VENUE OF ANY SUCH SUIT, ACTION OR PROCEEDING IN ANY SUCH COURT OR THAT ANY SUCH
SUIT, ACTION OR PROCEEDING WHICH IS BROUGHT IN ANY SUCH COURT HAS BEEN BROUGHT IN AN INCONVENIENT FORUM.
- Entire Agreement. These Terms and Conditions, together with iNET"s privacy policy, supersede any prior discussions,
negotiations and agreements between the parties with respect to the subject matter hereof, and these Terms and Conditions,
together with the privacy policy, constitute the sole and entire agreement between the parties with respect to the matters covered
hereby.
- Severability. The provisions of these Terms and Conditions may be exercised and are applicable and binding only to the
extent that they do not violate any applicable laws and are intended to be limited to the extent necessary so that they will not
render these Terms and Conditions illegal, invalid or unenforceable. If any provision or portion of any provision of these Terms
and Conditions are held to be illegal, invalid or unenforceable by a court of competent jurisdiction, the remaining provisions or
portions thereof shall apply with respect to the subject matter hereof, and all such remaining provisions or portions thereof
shall remain in full force and effect.
- Waiver. No failure or delay on the part of iNET to exercise any right or remedy hereunder shall operate as a waiver
thereof, nor shall any single or partial exercise of any right or remedy by iNET preclude any other or further exercise thereof or
the exercise of any other right or remedy. No express waiver or assent by iNET to any breach of or default in any of these Terms
and Conditions shall constitute a waiver of or an assent to any succeeding breach of or default in the same or any other term or
condition hereof.
- Attorneys" Fees. If any action in law or in equity is necessary to enforce the terms of this Agreement, the prevailing
party will be entitled to reasonable fees of attorneys, accountants, and other professionals, and costs and expenses in addition
to any other relief to which such prevailing party may be entitled.
